1. Introduction

These Terms & Conditions (“Terms“) govern the provision of products and services by Trade Web Design (“Trade Web Design“, “we“, “us” or “our“) to any individual, business, company, partnership, trust, organisation or other entity (“Client“, “you” or “your“). These Terms apply to all products, services, subscriptions, consultations, quotations, proposals, invoices and agreements issued by Trade Web Design. By accepting a proposal, paying an invoice, paying a deposit, engaging our services, signing an agreement, providing instructions to commence work or continuing to use any service supplied by Trade Web Design, you acknowledge that you have read, understood and agreed to be legally bound by these Terms & Conditions. If you do not agree to these Terms, you must not engage Trade Web Design or use any services provided by Trade Web Design. These Terms form a legally binding agreement between Trade Web Design and the Client.

3. Definitions

For the purposes of these Terms, “Agreement” means these Terms & Conditions together with any proposal, quotation, invoice, statement of work, subscription agreement or other written document issued by Trade Web Design. “Services” means any product or service supplied by Trade Web Design including website design, website development, website hosting, website maintenance, website care plans, search engine optimisation, advertising management, branding, graphic design, software development, application development, domain registration, domain management, automation services, telecommunications services and any related services. “Website” means any website, landing page, web application, portal or digital platform developed, hosted or maintained by Trade Web Design. “Subscription Website” means a website supplied under a recurring subscription arrangement where ownership remains with Trade Web Design unless otherwise agreed in writing. “Deliverables” means all completed work, files, designs, graphics, content, software, databases, source code and associated materials produced during a project. “Intellectual Property” means all copyrights, trademarks, trade secrets, software code, systems, methodologies, templates, graphics, designs, content and proprietary materials owned by Trade Web Design or its licensors.

4. Acceptance Of Terms

The Client will be deemed to have accepted these Terms & Conditions upon written acceptance of a proposal, quotation or agreement, payment of a deposit or invoice, provision of instructions to commence work, execution of a service agreement, submission of information through our website for the purpose of obtaining services, or continued use of any service supplied by Trade Web Design. Acceptance may occur electronically, verbally or in writing. Once accepted, these Terms remain binding unless otherwise agreed in writing by Trade Web Design.

5. Services

Trade Web Design provides a wide range of digital products and services to businesses throughout Australia. Services may include website design, website development, website hosting, website care plans, website security, malware removal, domain registration, domain management, search engine optimisation, Google Ads management, social media advertising, branding, logo design, graphic design, content creation, software development, mobile application development, CRM implementation, business automation services, telecommunications services including 1300 and 1800 numbers, consulting services and related digital solutions. Trade Web Design reserves the right to modify, suspend, discontinue or refuse any service offering at any time where reasonably necessary.

6. Quotes & Proposals

All quotes, estimates and proposals provided by Trade Web Design are based on the information available at the time of preparation. Unless otherwise stated in writing, quotes and proposals remain valid for a period of thirty (30) days from the date of issue. Any variation to the agreed scope of work may result in revised pricing, amended timelines or additional charges. Trade Web Design reserves the right to adjust pricing where project requirements change, additional functionality is requested, additional pages are required, third party costs increase or the project scope expands beyond the original agreement. Any project timeline provided by Trade Web Design is an estimate only and does not constitute a guaranteed completion date.

7. Deposits & Project Commencement

Most projects undertaken by Trade Web Design require a deposit of fifty percent (50%) of the total project value before work commences. Work will generally not commence until the Client has accepted the proposal, paid the required deposit and supplied all reasonably requested information necessary to commence the project. Deposits secure project scheduling, resource allocation, consultation time, planning activities and development resources. Trade Web Design may commence consultation, planning, design, administration and development activities immediately following receipt of a deposit. Deposits are non refundable except where otherwise required by applicable law.

8. Cooling Off Period

Trade Web Design provides a three (3) calendar day cooling off period for eligible projects. The cooling off period commences when written acceptance of a proposal has been received and the initial deposit has been paid. Any cancellation request must be submitted in writing within the applicable cooling off period. Where work has already commenced, Trade Web Design reserves the right to deduct reasonable costs associated with consultation, planning, administration, design and development activities already completed. Nothing in this clause limits any rights or remedies available under Australian Consumer Law.

9. Payment Terms

The Client agrees to pay all invoices in accordance with the payment terms specified by Trade Web Design. Payments may be made by direct debit, credit card, online payment portal, telephone payment or any other approved payment method. Payments are processed through third party payment providers and Trade Web Design does not store customer credit card information. Failure to make payment by the due date may result in suspension, restriction or termination of services. Service suspension resulting from non payment does not relieve the Client of their obligation to pay any outstanding amounts. Trade Web Design reserves the right to recover any reasonable costs incurred in recovering overdue debts where permitted by law.

10. Payment Plans

Trade Web Design may offer payment plans or interest free payment arrangements at its discretion. Approval of a payment plan does not alter the Client’s obligation to pay the full amount owing under the agreement. Missed payments may result in immediate suspension of services, cancellation of the payment arrangement, acceleration of outstanding balances and suspension of hosting, websites or other services. Ownership of any deliverables will not transfer until all outstanding amounts have been paid in full.

11. Chargebacks & Payment Disputes

If a Client initiates a chargeback, payment reversal, payment dispute or similar claim through a financial institution, payment provider or card issuer, Trade Web Design reserves the right to immediately suspend all associated services while the matter is investigated. This may include suspension of websites, hosting services, marketing campaigns, domain management, software access and any other services supplied by Trade Web Design. The Client remains responsible for all legitimate fees and charges incurred prior to the dispute. Trade Web Design reserves the right to provide relevant documentation, communications, agreements and project records to payment providers for the purpose of defending any chargeback or payment dispute claim.
