3. Ownership Of Intellectual Property

Unless otherwise agreed in writing, all intellectual property created, developed or supplied by Trade Web Design remains the property of Trade Web Design until all outstanding invoices, fees and charges relating to the relevant project have been paid in full. This includes but is not limited to website designs, source code, graphics, branding assets, software, applications, databases, documentation, content structures, workflows, automation systems and related materials.

4. Website Ownership

Ownership of a website developed by Trade Web Design will only transfer to the Client once all invoices relating to the project have been paid in full. Until full payment has been received, all rights, title and interest in the website and associated deliverables remain with Trade Web Design.

5. Subscription Websites

Where a website is provided under a subscription arrangement, ownership of the website, source code, designs, graphics, databases and associated intellectual property remains with Trade Web Design unless otherwise agreed in writing. Subscription fees provide the Client with a licence to use the website during the active subscription period and do not constitute a transfer of ownership.

6. Website Buyouts

Clients operating under a website subscription arrangement may request to purchase ownership of their website. Buyout pricing will be calculated using Trade Web Design’s standard website development rates applicable at the time of the request, including the number of pages, functionality, integrations, custom development work, software components and other project requirements. Ownership will not transfer until all applicable buyout fees have been paid in full.

7. Source Files & Development Files

Unless otherwise agreed in writing, Trade Web Design is not required to provide source files, development files, working files, layered design files, proprietary code repositories, project documentation, internal workflows or development environments. Access to such materials may be provided at Trade Web Design’s sole discretion once all outstanding amounts have been paid.

8. Proprietary Systems & Processes

Trade Web Design retains full ownership of all proprietary systems, software, templates, frameworks, methodologies, automation tools, processes, workflows, scripts, code libraries and business systems used in the delivery of services. Nothing in this policy grants any ownership rights in Trade Web Design’s proprietary intellectual property.
